The Chargezen Referral Program ("Program") allows eligible participants ("Referrers") to earn commissions by referring new customers to Chargezen services. These Referral Program Terms ("Terms") govern your participation in the Program.

By participating in the Program, you agree to be bound by these Terms, the Chargezen Terms of Service, Privacy Policy, and all applicable laws and regulations.

To participate in the Program, you must:

• Be at least 18 years of age
• Be a current Chargezen customer in good standing, OR
• Be approved as a referral partner through our partner application process
• Provide accurate payment and tax information (W-9 for U.S. persons)
• Comply with all applicable laws, including FTC disclosure requirements

Chargezen reserves the right to reject or terminate any referrer's participation at any time without cause.

Standard Referral Commission:

• Rate: 20% of the referred customer's monthly subscription fees
• Duration: 12 months from the referred customer's first paid subscription
• Qualifying Transactions: Monthly subscription fees only (excludes one-time fees, add-ons, and overages)

Commission Triggers:

• Commission is earned when a referred customer completes their first paid month of service
• No commission is paid for free trials that do not convert
• Commission is forfeited if the referred customer receives a refund within 30 days

Chargezen reserves the right to modify commission rates with 30 days' notice to existing referrers.

Referrals are tracked using unique referral links assigned to each Referrer. For a referral to be credited:

• The referred customer must click your unique referral link
• The referred customer must sign up within 90 days of clicking the link
• The referred customer must not have a pre-existing Chargezen account
• The referred customer must not have been referred by another Referrer

In case of disputes over referral attribution, Chargezen's decision is final. We use first-click attribution with a 90-day cookie window.

Payment Schedule:

• Commissions are calculated monthly and paid by the 15th of the following month
• Minimum payout threshold: $50 USD
• Unpaid commissions below the threshold roll over to the next period
• If you terminate participation, remaining balance will be paid within 60 days if above threshold

Payment Methods:

• PayPal (default)
• ACH bank transfer (U.S. only, for balances over $500)
• Wire transfer (international, for balances over $1,000; transfer fees may apply)

Tax Reporting: U.S. persons earning $600 or more annually will receive a 1099-NEC. You are responsible for all applicable taxes on commissions earned.

The following activities are strictly prohibited and may result in immediate termination from the Program and forfeiture of unpaid commissions:

• Self-Referrals: Referring yourself, your employer, or any entity you control
• Fake Referrals: Creating fake accounts or using fake identities
• Incentive Abuse: Offering cash rebates, discounts, or other incentives to referred customers from your commission
• Trademark Violations: Bidding on Chargezen trademarks in paid advertising
• Spam: Sending unsolicited emails, messages, or communications
• Misleading Claims: Making false or misleading statements about Chargezen services
• Cookie Stuffing: Using techniques to artificially generate referral cookies
• Undisclosed Relationships: Failing to disclose your referral relationship as required by FTC guidelines

When promoting Chargezen through the referral program, you must comply with FTC Endorsement Guidelines:

• Clearly and conspicuously disclose your referral relationship
• Disclosures must be close to the referral link and easy to notice
• Use clear language such as "I earn a commission if you sign up through this link" or "#ad" for social media
• Do not make claims about Chargezen services that you cannot substantiate

Chargezen grants you a limited, non-exclusive, revocable license to use Chargezen trademarks and marketing materials solely for promoting Chargezen through the Program, subject to the following:

• Use only approved marketing materials from the referral dashboard
• Do not modify Chargezen logos or trademarks
• Do not create websites or social media accounts that could be confused with official Chargezen properties
• Do not register domain names containing "Chargezen" or similar variations

All goodwill from your use of Chargezen trademarks inures to Chargezen's benefit.

Term: These Terms remain in effect until terminated by either party.

Termination by You: You may terminate participation at any time by emailing referrals@chargezen.com.

Termination by Chargezen: We may terminate your participation:

• Immediately, for violation of these Terms or applicable law
• With 30 days' notice, for any reason or no reason

Effect of Termination:

• You will cease to earn commissions on new referrals
• Pending commissions for referred customers who signed up before termination will be paid according to normal schedule
• If terminated for cause, all unpaid commissions may be forfeited

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• Chargezen's total liability under these Terms shall not exceed the total commissions paid to you in the 12 months preceding the claim
• Chargezen shall not be liable for indirect, incidental, special, consequential, or punitive damages
• Chargezen makes no guarantees regarding the amount of commissions you will earn

The Program is provided "as is" without warranty of any kind.

Chargezen may modify these Terms at any time. Material changes will be communicated via email to the address on file. Continued participation after changes take effect constitutes acceptance of the modified Terms.

Changes to commission rates or payment terms will be provided with at least 30 days' notice.

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any disputes shall be resolved through binding arbitration in Wilmington, Delaware, in accordance with the arbitration provisions in our main Terms of Service.
