Terms and conditions governing participation in the Chargezen Partner Program for resellers, referral partners, and technology integrators.

1. Partner Program Overview

The Chargezen Partner Program ("Program") enables qualified businesses ("Partners") to resell, refer, or integrate Chargezen services with their own offerings. These Partner Program Terms ("Terms") govern your participation in the Program.

By applying to or participating in the Program, you agree to be bound by these Terms, the Chargezen Terms of Service, Privacy Policy, and all applicable laws.

Partner Types:

  • Referral Partners: Refer customers to Chargezen and earn commission on closed deals
  • Reseller Partners: Resell Chargezen services to your customers
  • Technology Partners: Build integrations with the Chargezen platform
  • Agency Partners: Implement and manage Chargezen for your clients

2. Eligibility and Application

2.1 Eligibility Requirements:

  • Established business entity in good standing
  • Relevant industry experience and customer base
  • Demonstrated alignment with Chargezen values and target market
  • Ability to meet minimum performance requirements
  • Compliance with all applicable laws and regulations

2.2 Application Process:

  • Submit partner application at partners.chargezen.com
  • Chargezen reviews application within 10 business days
  • If approved, complete partner onboarding and training
  • Sign Partner Agreement and begin referring/reselling

2.3 Acceptance: Chargezen reserves the right to accept or reject any application at its sole discretion. Approval is not guaranteed.

3. Partner Obligations

As a Chargezen Partner, you agree to:

  • Training: Complete required partner certification and training programs
  • Quality Standards: Maintain high standards in customer service and implementation
  • Accurate Representation: Accurately represent Chargezen products, pricing, and capabilities
  • Compliance: Comply with all Chargezen policies, guidelines, and applicable laws
  • Reporting: Provide accurate and timely reports on sales, leads, and customer feedback
  • Confidentiality: Protect Chargezen confidential information and customer data
  • Non-Compete (Limited): Not promote competing products during active sales cycles
  • Branding: Use Chargezen trademarks only as authorized in our brand guidelines

4. Chargezen Obligations

Chargezen will provide Partners with:

  • Partner Portal: Access to sales tools, documentation, and deal registration
  • Training: Product training, sales enablement, and certification programs
  • Marketing Resources: Co-branded materials, case studies, and campaign support
  • Technical Support: Access to technical resources and pre-sales support
  • Lead Distribution: Qualified leads based on partner tier and specialization
  • Partner Manager: Dedicated support (Silver tier and above)

5. Commission and Revenue Share

5.1 Referral Commissions:

  • Commission rates vary by partner tier (10% - 25% of first-year contract value)
  • Commission paid on net contract value (excluding taxes, refunds, chargebacks)
  • Deal registration required to qualify for commission
  • Commission paid 30 days after customer's first payment

5.2 Reseller Margins:

  • Resellers purchase at wholesale discount (15% - 35% off list price)
  • Reseller sets end-customer pricing (subject to MAP policy if applicable)
  • Reseller responsible for billing and collecting from end customers

5.3 Renewal Commissions:

  • Renewal commissions available for Platinum Partners only
  • 5% of renewal contract value for accounts in good standing
  • Partner must remain active in Program to receive renewal commissions

5.4 Payment:

  • Commissions paid monthly via ACH or wire transfer
  • Minimum payout threshold: $100
  • Partners receive 1099-NEC (U.S.) or applicable tax forms

6. Deal Registration

6.1 Registration Process:

  • Register deals via Partner Portal before customer engagement
  • Provide required information: company name, contact, estimated value, timeline
  • Chargezen reviews and approves/declines within 3 business days

6.2 Protection Period:

  • Approved deals are protected for 90 days (extendable upon request)
  • First-to-register receives deal protection
  • Protection lost if no activity for 30 days or customer requests different partner

6.3 Direct vs. Partner: If a customer contacts Chargezen directly and a partner has a registered deal, Chargezen will direct the customer back to the partner.

7. Intellectual Property

7.1 License Grant: Chargezen grants Partners a limited, non-exclusive, non-transferable license to use Chargezen trademarks, logos, and marketing materials solely for purposes of promoting Chargezen services as part of the Program.

7.2 Restrictions:

  • Do not modify Chargezen trademarks or create derivative marks
  • Do not use Chargezen marks in your company name or product names
  • Follow Chargezen Brand Guidelines for all use
  • Submit co-branded materials for approval before distribution

7.3 Partner Content: Partners retain ownership of their own content, integrations, and implementations. Partners grant Chargezen a license to feature partner solutions in the partner directory and marketing materials.

8. Confidentiality

8.1 Confidential Information: Each party may receive confidential information from the other, including pricing, roadmaps, customer lists, and business strategies.

8.2 Obligations:

  • Use confidential information only for Program purposes
  • Protect confidential information with reasonable care
  • Do not disclose to third parties without written consent
  • Return or destroy confidential information upon termination

8.3 Exceptions: Information is not confidential if publicly known, independently developed, or received from a third party without restriction.

8.4 Duration: Confidentiality obligations survive termination for 3 years.

9. Data Protection

9.1 Customer Data: Partners who access customer data through implementations or integrations must:

  • Comply with Chargezen's Privacy Policy and DPA
  • Process data only as necessary for service delivery
  • Implement appropriate security measures
  • Notify Chargezen of data breaches within 24 hours
  • Delete customer data upon termination

9.2 Data Processing Agreement: Partners processing personal data on behalf of customers must execute Chargezen's Data Processing Agreement.

10. Term and Termination

10.1 Term: Initial term is 12 months, automatically renewing for successive 12-month periods unless terminated.

10.2 Termination for Convenience: Either party may terminate with 30 days written notice.

10.3 Termination for Cause: Either party may terminate immediately if the other party:

  • Materially breaches these Terms and fails to cure within 30 days
  • Becomes insolvent or files for bankruptcy
  • Engages in illegal activity or conduct harmful to Chargezen's reputation

10.4 Effect of Termination:

  • Partner loses access to Partner Portal and resources
  • Partner must cease using Chargezen trademarks within 30 days
  • Outstanding commissions paid per normal schedule
  • Existing customer contracts continue (resellers must transition billing to Chargezen or customer)

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • Neither party is liable for indirect, incidental, special, consequential, or punitive damages
  • Chargezen's total liability under these Terms is limited to commissions paid to Partner in the 12 months preceding the claim
  • These limitations apply regardless of the form of action, whether in contract, tort, or otherwise

12. Indemnification

12.1 Partner Indemnification: Partner will indemnify, defend, and hold harmless Chargezen from claims arising from:

  • Partner's breach of these Terms
  • Partner's implementation or services provided to customers
  • Partner's violation of applicable law
  • Partner's misrepresentation of Chargezen products

12.2 Chargezen Indemnification: Chargezen will indemnify Partners from claims that Chargezen products infringe third-party intellectual property rights, subject to standard exclusions.

13. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any disputes shall be resolved through binding arbitration in Wilmington, Delaware, in accordance with the arbitration provisions in our main Terms of Service.
